EXCERPT OF MINUTES OF A MEETING OF THE

GOVERNING BODY OF LAWRENCE, KANSAS

                                                           HELD AUGUST 31, 2004

 

            The governing body of Lawrence, Kansas, met in regular session at the usual meeting place in Lawrence, at 6:35 p.m., the following members being present and participating:______________________                       ____________________________________________________________________________________.

            The Mayor declared that a quorum was present and called the meeting to order.

            The matter of authorizing the sale and delivery of approximately $15,745,000 principal amount of General Obligation Temporary Notes, Series 2004-II, approximately $10,670,000 principal amount of General Obligation Bonds, Series 2004-B and approximately $1,600,000 General Obligation Bonds, Series 2004-C (Subject to Alternative Minimum Tax) of the City, came before the governing body for consideration.

 

            Commissioner _________________ presented and moved for the adoption of a Resolution entitled:

 

                        RESOLUTION AUTHORIZING THE PUBLIC SALE OF APPROXIMATELY $15,745,000 PRINCIPAL AMOUNT OF GENERAL OBLIGATION TEMPORARY NOTES, SERIES 2004-II, APPROXIMATELY $10,670,000 PRINCIPAL AMOUNT OF GENERAL OBLIGATION BONDS, SERIES 2004-B AND APPROXIMATELY $1,600,000 GENERAL OBLIGATION BONDS, SERIES 2004-C (SUBJECT TO ALTERNATIVE MINIMUM TAX) OF LAWRENCE, KANSAS.

 

            Commissioner ___________________ seconded the motion for the adoption of the Resolution. The Resolution was adopted by the following vote:

                        RESOLUTION AUTHORIZING THE PUBLIC SALE OF APPROXIMATELY $15,745,000 PRINCIPAL AMOUNT OF GENERAL OBLIGATION TEMPORARY NOTES, SERIES 2004-II, APPROXIMATELY $10,670,000 PRINCIPAL AMOUNT OF GENERAL OBLIGATION BONDS, SERIES 2004-B AND APPROXIMATELY $1,600,000 GENERAL OBLIGATION BONDS, SERIES 2004-C (SUBJECT TO ALTERNATIVE MINIMUM TAX) OF LAWRENCE, KANSAS.

 

            BE IT RESOLVED BY THE GOVERNING BODY OF THE CITY OF LAWRENCE, KANSAS, AS FOLLOWS:

 

            Section 1.  The General Obligation Temporary Notes, Series 2004-II in the approximate principal amount of $15,745,000 (the "Notes"), General Obligation Bonds, Series 2004-B in the approximate principal amount of $10,670,000 and General Obligation Bonds, Series 2004-C (Subject to Alternative Minimum Tax) in the approximate principal amount of $1,600,000 (the Series 2004-B Bonds and Series 2004-C Bonds collectively referred to as the "Bonds") of the City of Lawrence, Kansas (the "City"), to be described in the Notice of Sale and Preliminary Official Statement, shall be offered at competitive public sale on Tuesday, September 14, 2004, at 11:00 a.m., local time, for the Notes and 11:30 a.m., local time, for the Bonds.

 

            Section 2.  The City Clerk is authorized to receive bids for the purchase of the Notes and Bonds on behalf of the City and to deliver all bids received to the governing body at its meeting to be held at 6:35 p.m. on the sale date, where the governing body will review the bids and act to accept the best bids.

 

            Section 3.  The Mayor, City Clerk and Finance Director are authorized to arrange for the preparation of a Preliminary Official Statement in a form, as certified by the Mayor or the Finance Director, to be "deemed final" except for the omission of certain information as provided in the Securities and Exchange Commission Rule 15c2‑12 .  The Preliminary Official Statement may be used in connection with the public sale of the Notes and Bonds.

 

            Section 4.  The City Clerk is authorized to give notice or provide for notice of the sale by publishing a notice of the sale not less than 6 days before the date of the sale in the official city newspaper and the Kansas Register and by mailing or otherwise making available copies of the Notice of Sale and Preliminary Official Statement to prospective purchasers of the Notes and Bonds.

 

            Section 5.  The City Clerk and the other officers and representatives of the City are authorized and directed to take other action as may be necessary to carry out the public sale of the Notes and Bonds.

 

            Section 6.  The City expects to make expenditures on and after the date of this Resolution in connection with the following projects and declares its intention to reimburse itself for such expenditures with the proceeds of the Notes and/or Bonds for the following approximate amounts:

              To the extent, if any, that any amounts set forth above exceed the amount of funds allocated to such projects by prior resolutions of the governing body, the amount of funds allocated to such projects by such prior resolutions is hereby amended to conform to the amounts set forth above in this Section 6.

 

            Section 7. This Resolution shall take effect after its adoption.
