Contract for Services and Scope of Work
Between ETC Institute and the City of Lawrence, Kansas
ARTICLE I: SCOPE OF SERVICES
1. Overview of Services to Be Performed: ETC Institute will design and administer an employee survey for the City of Lawrence, Kansas. The survey will be administered during the Fall of 2005. The final report will be completed by December 31, 2005.
2. Maximum fixed fee. The total maximum fee to conduct the survey will be $21,300. This includes $12,750 for the services requested in the original request for proposal plus up to $8550 for the optional services as shown below:

Roll-out presentations to employees (in addition to those specified in the basic scope of services) can be purchased for an additional $500 each.
3. ETC Institute's responsibilities. See Appendix A.
4. Responsibilities for City of Lawrence will include the following:
a. providing ETC Institute with copies of previous surveys
b. educating employees about the survey to promote participation
c. recruiting participants and providing meeting room space for focus groups
d. providing input to the content of the survey
e. approving the survey instrument
f. identifying requests for subanalysis of the data as appropriate
ARTICLE II: PAYMENT FOR SERVICES
1. Invoices for requested services will be submitted upon completion of tasks as described in Article 1, Section 2, for the following amounts:
Ř Invoice #1: Survey Design Complete – Tasks 1 and 2 ($3000). An additional $3000 for a total of $6000 will be billed if the City requests the optional focus groups and interviews.

Ř Invoice #3: Draft Final Report Submitted (50% of Task 4 and all Supplemental
Analysis) ($5,400)

ARTICLE lII: MISCELLANEOUS PROVISIONS
1. Change in Scope. The Scope of Services for this contract shall be subject to modification or supplement upon the written agreement of the contracting parties. Any such modification in the Scope of Services shall be incorporated in this Agreement by supplemental agreement executed by the parties.
2. Termination of Contract. This agreement may be terminated by either party upon 14 days written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof through no fault of the terminating party. If the contract is terminated by the City, the City shall reimburse ETC Institute for the full value of any Task that has been initiated.
3. Rights to Use the Data. The final report, survey instrument, and survey database will be owned by the City of Lawrence at the completion of the project. ETC Institute has the right to use the data as a component of ETC Institute’s benchmarking database, but ETC Institute will not release specific results for City of Lawrence without approval from the City.
